Terms & Conditions

Effective date: June 30, 2026. Last updated: July 27, 2026.

These Terms and Conditions ("Terms") govern your access to and use of CoreDhristi ("Platform", "we", "us"), operated from Indore, Madhya Pradesh, India. By creating an account or using the Platform you agree to these Terms in full. If you do not agree, do not use the Platform.

1. Definitions

  • "Platform": the CoreDhristi website, API, and related services at coredhristi.com.
  • "Creator": a registered user who lists AI agents, automations, MCP servers, or skills for sale or rental.
  • "Company" / "Buyer": a registered user who hires AI agents or developers through the Platform.
  • "Asset": any AI agent, MCP server, AI automation, or skill listed on the Platform.
  • "Subscription": the access-based model used on CoreDhristi, where a Buyer pays a recurring fee for continued access to an Asset. It is access-based, not outcome-based and not usage-based: the fee is the same whether the Asset is used heavily or lightly in a given period.
  • "API Key": a unique credential issued to a Buyer upon subscribing to an Asset, used to authenticate calls to that Asset.

2. Eligibility and Account Registration

You must be at least 18 years old to use the Platform. By registering you confirm that the information you provide is accurate and complete. You are responsible for maintaining the security of your account credentials.

Phone number OTP verification is mandatory during registration. We use this to prevent fraud and ensure one account per person. You must provide a valid phone number that you own.

At signup you choose exactly one account type: Solo AI Agent Developer, AI Agent Development Company, or Buyer Company. Each covers a distinct purpose (selling your own work, selling as a team, or hiring/buying), so accounts are single-purpose by design; if you need both a selling and a buying identity, register two separate accounts with two email addresses, the standard practice for marketplaces like this one.

Two-factor authentication (2FA) is mandatory, not optional, for specific roles because they control money, team access, or account settings: every internal CoreDhristi staff role, and the Owner/Admin and Finance roles on both Buyer Company and AI Agent Development Company accounts. If your role requires 2FA, you must complete setup before you can use the rest of the dashboard. It remains optional, though recommended, for other roles.

3. Creator Terms

3.1 Listing assets

Creators may list an unlimited number of Assets. All Assets must pass CoreDhristi's 7-layer security and quality review (secret scanning, static analysis, dependency and supply-chain scanning, automated QA/functionality checks, automated attack-simulation, workflow and MCP verification, and a data-claim cross-check with software-bill-of-materials generation) before going live. CoreDhristi reserves the right to reject or delist any Asset at any time for security, quality, or policy reasons.

3.2 Revenue share

CoreDhristi's standard revenue share is a flat 80% of every subscription payment; CoreDhristi retains 20% as a platform fee, which covers security review, infrastructure, fraud protection, and payment processing. There are no paid platform-subscription tiers. The 80% share is flat: it does not vary by Creator tier, sales volume, or Exclusivity Program status. (Higher tiered rates exist as dormant code in our systems but are not offered to anyone. The Exclusivity Program described in Section 6.6 grants an Exclusive badge only; it does not change the revenue share.)

Each sale's Creator share is held for 21 days under the buyer-protection window described in Section 5.4, then paid out automatically, monthly, to your registered payout method (bank account or UPI). The minimum payout threshold is INR 1,000. If your balance is below the threshold, it rolls over to the following payout cycle.

At listing time you declare an update-cadence commitment (shipping a patch or update at least every 2 weeks, 1 month, 3 months, or 6 months), shown publicly on your listing. You may raise a paid listing's price at most once per year, capped at 10% per increase. An increase applies immediately to new subscribers; existing subscribers keep their prior price until their next renewal.

3.3 Intellectual property

You retain full ownership of all intellectual property in your Asset. By listing on the Platform you grant CoreDhristi a non-exclusive, worldwide, royalty-free licence to display, describe, and market your Asset on the Platform and in promotional materials.

Buyers receive a limited, non-transferable licence to use your Asset via the API Key. No source code, model weights, or internal logic is transferred to the Buyer unless you explicitly choose a source-available licence.

3.4 IP protection mechanism

Assets operate via API Key validation. When a Buyer cancels or fails to renew a subscription, their API Key is revoked immediately. If your Asset is cloud-hosted (MCP model), access is revoked at the infrastructure level. You do not need to manually enforce access.

3.5 Prohibited content

You must not list any Asset that:

  • contains malware, spyware, backdoors, or any malicious code;
  • exfiltrates user data without explicit disclosure;
  • violates any applicable law or third-party intellectual property rights;
  • is designed to facilitate illegal activity;
  • misrepresents its capabilities, accuracy, or origin.

Breach of this section results in immediate delisting and permanent account suspension without refund of pending payouts.

3.6 Responsibility for Agent and Automation performance

As the builder of your Asset, you are responsible for any direct financial loss it causes a Company through malfunction, error, or misconduct. CoreDhristi is not responsible for such losses (see Section 13.1). If CoreDhristi compensates a Company under Section 13.1 for a loss caused by your Asset, CoreDhristi may recover that amount from you, including by offsetting it against your pending or future payouts.

4. Company / Buyer Terms

4.1 Subscriptions

When you subscribe to an Asset, you receive an API Key that grants access for the subscription period. Subscriptions renew automatically unless cancelled before the renewal date. You will be charged in advance for each billing period.

4.2 API Key use

You are responsible for keeping your API Key confidential. Do not share, publish, or embed it in client-side code. If your key is compromised, revoke it immediately from your dashboard and contact security@coredhristi.com.

API Keys are non-transferable. You may not sublicence, resell, or share access to an Asset with third parties who have not subscribed independently.

4.3 Acceptable use

You must not use any Asset to:

  • send spam, conduct phishing campaigns, or generate synthetic misinformation at scale;
  • attempt to reverse-engineer, decompile, or extract model weights or source code;
  • exceed API rate limits or conduct denial-of-service attacks;
  • violate any applicable law or third-party rights.

4.4 Team seats, roles, and budget

Company accounts (both buyer companies and AI agent development companies) may invite team members as seats. The first 2 seats per account are free; each additional separate login is billed at US$5 per seat per month. Team seats are an optional collaboration convenience for individually-tracked logins only. A team may instead share a single login at no cost, and browsing, hiring, listing, and selling remain free regardless of team size. There is no fee to use the marketplace itself.

Members share visibility into the account's activity according to their assigned role. Buyer-company roles are Admin (full access, including team and payment management), Hiring (browse and hire agents within any budget the account sets), and Finance (view spend and invoices, and set the monthly budget cap). An AI agent development company uses Owner, Product (manage listings), and Finance (revenue and payouts) roles. Where a monthly spending cap has been set by an Admin or Finance member, purchases by a Hiring member that would exceed it are blocked and require an Admin or Finance member to approve them or raise the cap. You are responsible for only inviting people you authorise, and for removing a member's access when it is no longer needed.

4.5 Code delivery via CLI

Agent source code is delivered to your machine using the official installer, run as npx @coredhristi/cli install <LICENSE_KEY>. The CLI authenticates your license key with CoreDhristi, downloads the Asset's code, and writes your license key into a local .env file on your machine. You are responsible for keeping that local .env file and its contents confidential, the same as any other API Key under section 4.2.

4.6 Liability for Agent and Automation performance

If an Agent or Automation you have subscribed to malfunctions and causes your company a direct financial loss, the Creator who built it is responsible for that loss, not CoreDhristi. See Section 13.1 for the compensation CoreDhristi provides as a goodwill measure in this situation, and for how that differs from your right to pursue the Creator.

5. Billing and Payments

5.1 Payment processors

Buyers in India are billed in INR through Razorpay (UPI, Net Banking, credit/debit cards, wallets). International buyers are billed in USD through Stripe (credit/debit cards). Your payment information is held and processed by these third parties; CoreDhristi does not store card or UPI credentials.

5.2 Pricing and taxes

CoreDhristi is not currently registered for GST, so GST is not charged or itemised on payments. If this changes, this section and your invoices will be updated accordingly, and you will be notified in advance.

5.2a Buyer service fee

When you hire an Agent, CoreDhristi adds a service fee on top of the price the Creator set. The fee is 4% of the Agent price for buyers in India and 6% for buyers outside India, and it is charged on every payment for that Agent, including each renewal of a recurring subscription, and on funding a Milestone Escrow tranche under section 6.1. The fee is shown as a separate line before you confirm payment and on your receipt.

The service fee is retained entirely by CoreDhristi and covers payment processing, the security review every listing passes, and platform support. It does not reduce the Creator's earnings: a Creator's revenue share is always calculated on the Agent price alone. The service fee is non-refundable. If a payment is refunded under section 5.3, the Agent price is returned to you in full and CoreDhristi retains the service fee, because it has already paid for the payment processing, security review, and support that the purchase consumed. This is the standard practice on marketplaces, and it is stated here so it is never a surprise. CoreDhristi may change the fee percentage in future, and any change will be published on the pricing page and applied only to payments made after it takes effect.

5.3 Refunds

You may request a refund of the Agent price within 7 days of your first payment for any paid Asset. The buyer service fee described in section 5.2a is retained by CoreDhristi and is not part of the refund. Contact support@coredhristi.com within the 7-day window with your order ID. Refunds are not available after 7 days or for subsequent billing cycles. Creator payout holds due to disputes are handled on a case-by-case basis.

5.4 21-Day Payout Protection and Quality Complaints

For every marketplace purchase, the Creator's share of your payment is held by CoreDhristi for 21 days before it is released to the Creator. During this window you may either confirm satisfaction from your billing dashboard (which releases the Creator's share immediately) or file a quality complaint. If you do neither, the share releases automatically after 21 days.

Marketplace subscriptions grant ACCESS to an agent, not a usage quota. A complaint is valid only if it reports a quality or functionality defect: the agent does not run, its output is materially defective, it contains a security flaw, or its functionality materially differs from its listing. Complaints must be filed within the 21-day window through the fixed reason categories in your billing dashboard. How much or how little you used an agent is not a defect, and "we did not use it enough this month" is not a valid complaint and will be rejected. A valid, upheld complaint blocks the Creator's payout and is remedied by CoreDhristi, typically through a refund; a rejected or withdrawn complaint returns the payment to its normal release schedule.

5.5 Promoted listings

A Creator may optionally pay to promote a listing: Rs 999 per month per listing for Creators billed in INR, or US$20 per month per listing for Creators billed in USD. A promotion runs for 30 days from activation and does not renew automatically.

A promoted listing is ordered above unpromoted listings within the results it already appears in, and the promoting Creator's bids on project briefs are displayed above unpromoted bids. Promoted placement is always labelled as such to buyers. Promotion affects ordering and visibility only. It does not exempt a listing from any part of the security review, does not affect whether a listing matches a buyer's search or filters, and confers no other advantage. Promotion fees are retained entirely by CoreDhristi, are separate from the revenue share, and are non-refundable once a promotion is active, except where a listing is suspended by CoreDhristi through no fault of the Creator, in which case the unused portion is refunded.

5.6 Licensed use only — no redistribution

A license purchased through CoreDhristi grants you the right to run the licensed Asset for your own internal business use only, for as long as your subscription remains active. It does not grant you the right to redistribute, resell, sublicense, publish, or share the Asset's source code or any build of it, in whole or in part, with any third party, or to use it beyond the deployment it was licensed for. This applies whether or not the Asset was delivered to infrastructure you control.

Every install of a licensed Asset carries a disclosed, unique identifier tied to your subscription (see the CoreDhristi IP-protection documentation for how this works). A copy of the Asset found outside a licensed deployment may be traced back to the subscription it was issued to. A breach of this section is grounds for immediate account suspension, license revocation without refund, removal from CoreDhristi, and such further legal remedies as are available to CoreDhristi and the Creator whose work was redistributed.

6. Hire-a-Developer

The Hire-a-Developer section allows Companies to post project requirements, browse developer profiles, and receive bids from verified developers. CoreDhristi is not a party to any contract formed between a Company and a Developer outside the Platform's systems. We are not liable for the quality, timeliness, or outcome of any custom development work beyond the escrow protections described below.

6.1 Milestone Escrow for Custom Projects

When a Company accepts a Developer's bid, the project runs through four milestones of 25% of the bid amount each. The Company funds each milestone tranche in advance, plus the buyer service fee described in section 5.2a; CoreDhristi holds the funded tranche (excluding the service fee, which is retained by CoreDhristi at funding time) and releases the tranche to the Developer after the Developer marks the milestone complete AND the Company approves it. Approval is final and releases that tranche irreversibly. The Developer's share of each released tranche is 80%, consistent with the Platform's standard revenue share, and is unaffected by the service fee.

If a Company declines to approve delivered work, it must open a dispute stating the defect. A disputed tranche stays frozen while the CoreDhristi team reviews both sides, then is either released to the Developer or refunded to the Company. Companies may not withhold approval for reasons unrelated to the agreed milestone scope; Developers may not demand release before the Company has had reasonable opportunity to review. If a Company neither approves nor disputes a submitted milestone within 21 days, the tranche releases automatically to the Developer, the same as if the Company had approved it - a Company that wishes to withhold a tranche must actively dispute it within this window, not simply decline to respond.

6.2 Listing Removal Notice (90 days)

A Developer may not deactivate or withdraw a listing that has active Company subscribers without giving at least 90 days' prior notice. On such notice the listing enters a "sunset" period during which it stays available to existing subscribers, who are notified so they can migrate. Withdrawing a subscribed listing without the required notice may result in the Developer's pending payouts being held and the account being flagged. Once a valid removal-notice period ends, a Company must stop using the affected Agent; CoreDhristi bears no liability for a Company's continued use of an Agent after that date.

6.3 In-Platform Communication and Off-Platform Contact

Communication between Companies and Developers must take place through CoreDhristi's in-platform chat. Sharing phone numbers, email addresses, external meeting links, or other means of moving a relationship off the Platform is prohibited and is automatically moderated: a first attempt triggers a warning and repeated attempts may block your chat access. If parties choose to transact off-platform after such a warning, CoreDhristi is not responsible for any outcome, loss, dispute, payment, or conduct that results. Chat messages are encrypted at rest and retained for up to two years as evidence in the event of a dispute or legal claim, as described in our Privacy Policy.

6.4 Marketplace Payout Holdback

For marketplace Agent subscriptions, a Creator's 80% share is held for 21 days before it becomes withdrawable. The hold is released early if the paying Company confirms satisfaction, or automatically after 21 days if no valid complaint is filed. Subscriptions are access-based, not usage-based: "we did not use it enough" is not a valid complaint. Only a quality or defect complaint (agent not functioning, materially defective output, security vulnerability, or a materially misrepresented listing), filed within the 21-day window through the fixed complaint form, can delay or block a release pending review.

6.5 Seasonal Sales and Promotions

CoreDhristi may run platform-wide seasonal sales (for example Black Friday or Diwali). Creators are never automatically enrolled: for each sale event we send an invitation that the Creator must explicitly accept before any of their listings participate. A Creator who declines, or does not respond, is not included. How a sale discount is allocated between the Creator's and the Platform's share is disclosed with each invitation before the Creator accepts.

6.6 Exclusivity Program

CoreDhristi may invite a Creator to an Exclusivity Program. This is a conditional, ongoing commercial arrangement, not a restriction on where a Creator may list their work. A Creator must explicitly accept an invitation; no Creator is ever automatically enrolled. While a Creator's Exclusivity Program status is active, CoreDhristi displays an "Exclusive" badge on that Creator's profile and listings, for as long as the Creator lists their agents, automations, MCP servers, and skills exclusively on CoreDhristi and nowhere else. A The Exclusivity Program does not change the revenue share: an exclusive Creator is paid the same flat 80% described in Section 3.2 as every other Creator. A Creator may leave the Exclusivity Program at any time, for any reason, without penalty: leaving simply removes the badge from that point forward. If CoreDhristi determines a Creator listed the same or substantially similar work on another marketplace while their Exclusivity Program status was active, CoreDhristi may end that status immediately; ending it under these circumstances only affects benefits going forward and does not, by itself, require the Creator to remove any listing or take any other action. Nothing in this section restricts a Creator's ability to list their work anywhere, at any time, during or after their participation in the Exclusivity Program.

7. Skills Store

The Skills store is free to access without an account. Skills are provided for personal and commercial use under the terms specified in each individual Skill. Copying a Skill is tracked via a browser cookie (30-day expiry). Skills may not be re-sold or presented as original work.

8. CoreDhristi AI Assistant

CoreDhristi is an AI assistant powered by a third-party language model. It is provided for informational purposes only. Do not share sensitive personal, financial, or confidential business information in the chat. Responses may be inaccurate; always verify important information through official sources. CoreDhristi is not liable for actions taken on the basis of CoreDhristi's responses.

9. Platform Intellectual Property

The CoreDhristi name, logo, design system, and all platform software are owned by CoreDhristi and protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works of platform IP without prior written consent.

10. Prohibited Conduct

You must not:

  • attempt to access accounts, data, or systems not authorised to you;
  • circumvent any security measure, rate limit, or access control;
  • use automated tools to scrape, index, or extract Platform data at scale;
  • impersonate any person or entity;
  • post false reviews or manipulate ratings;
  • engage in any activity that disrupts the Platform or other users.

11. Account Termination

You may close your account at any time by contacting hello@coredhristi.com. Active subscriptions continue until the end of the billing period. Pending creator payouts above the minimum threshold will be processed in the next payout cycle.

CoreDhristi reserves the right to suspend or permanently terminate any account that violates these Terms, without prior notice and without refund, where such violation involves prohibited content, fraud, or malicious conduct.

12. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Platform will be error-free, uninterrupted, or free from harmful components. Creators are responsible for the accuracy and safety of their Assets; CoreDhristi's security review reduces but does not eliminate risk.

13. Limitation of Liability

To the maximum extent permitted by law, CoreDhristi's total liability to you for any claim arising from your use of the Platform is limited to the amount you paid to CoreDhristi in the 3 months preceding the claim. CoreDhristi is not liable for indirect, incidental, special, or consequential damages, including loss of profits, data loss, or business interruption.

13.1 Liability for Agent and Automation performance

Agents and Automations listed on the Platform are built, listed, and maintained by independent Creators, not by CoreDhristi. CoreDhristi verifies each listing through its 7-layer security and quality review (Section 3.4) but does not build, operate, or control any Asset's business logic or output.

If a Company suffers a direct financial loss caused by the malfunction, error, or misconduct of an Agent or Automation, responsibility for that loss rests with the Creator who built and listed it, not with CoreDhristi.

As a goodwill measure, and not as an admission of fault, CoreDhristi will compensate an affected Company an amount equal to three (3) times that Company's platform subscription fee for the month immediately preceding the loss, once CoreDhristi has verified the claim. This compensation is separate from, and does not replace, the Company's right to pursue the responsible Creator directly. This subsection does not expand any other liability described elsewhere in this Section 13.

13.2 Hosting Partner Links (Affiliate Disclosure)

The "Host Your Agent" page and any similar surface (including links the CoreDhristi AI Assistant may share when asked where to run or deploy an Asset) may contain affiliate links to third-party hosting providers. CoreDhristi may earn a commission if you sign up with a provider through one of these links, at no extra cost to you. Each such link is disclosed as an affiliate link at the point it is shown.

CoreDhristi does not host, operate, control, or guarantee the availability, security, billing accuracy, or support quality of any third-party hosting provider listed. Your use of any hosting provider is governed solely by that provider's own terms and privacy policy, which you should read before signing up. CoreDhristi is not responsible, directly or indirectly, for any loss, outage, billing dispute, data loss, or security incident arising from your use of a third-party hosting provider, whether or not you reached it through a link on the Platform. This subsection does not expand any other liability described elsewhere in this Section 13, and the goodwill compensation described in Section 13.1 applies only to Assets and Automations listed on the Platform, never to third-party hosting services.

14. Indemnification

You agree to indemnify and hold harmless CoreDhristi, its officers, employees, and agents from any claim, damage, loss, or expense (including legal fees) arising from: your use of the Platform; your violation of these Terms; your content or Assets; or your infringement of any third-party right.

15. Changes to These Terms

We may update these Terms to reflect changes in the Platform or applicable law. Material changes will be notified by email to registered users at least 14 days before taking effect. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Platform before the effective date.

16. Governing Law and Disputes

These Terms are governed by the laws of India, including the Information Technology Act, 2000, the Consumer Protection Act, 2019, and the Digital Personal Data Protection Act, 2023. Any dispute shall first be attempted to be resolved by good-faith negotiation. Unresolved disputes shall be subject to the exclusive jurisdiction of courts in Indore, Madhya Pradesh, India. Nothing in this clause limits your rights as a consumer under applicable local law.
